B2B Terms and Conditions

Important: These Conditions apply exclusively to B2B customers (companies, professionals, resellers with a VAT number). The application of consumer protection regulations is expressly excluded. By placing an order, the Customer declares to have read and fully accepted these Conditions.
1 Subject and Seller Data
These conditions govern the offer and sale of personalized car fragrance pendants and related products by Forplane S.L. (hereinafter “Sentorette”).

2 Orders, Graphic Files and Tolerances
Order procedure: The order is only considered binding after written approval of the graphic design (“print release”) and receipt of payment.
Files and Responsibility: The executable files are provided by the customer. Sentorette does not check the content of texts or layouts. Issuing "print approval" releases Sentorette from any responsibility for aesthetic or textual defects in the original file.
Industrial Tolerances: The Customer accepts a tolerance of up to 5% on the quantities delivered, slight chromatic variations compared to the monitor and millimetric deviations in the die-cut.
3 Intellectual Property and Indemnity
The Customer declares to possess all rights to use the logos and trademarks provided. The Customer undertakes to keep Sentorette fully indemnified and harmless from any claims, sanctions or legal actions moved by third parties for copyright infringement resulting from the reproduction of the files provided.
4 Delivery Times and B2B Warranty
The delivery times communicated are purely indicative and not binding. Unless otherwise agreed, the goods travel at the Customer's risk from the moment of delivery to the carrier.
Complaints: Any obvious defects must be reported no later than 8 (eight) days from receipt of the goods via PEC or registered mail. The warranty is limited to free replacement or the issuance of a credit note.
Exclusion of Withdrawal
Since the contract is between professionals (B2B) and concerns customized goods, the right of withdrawal is fully excluded (pursuant to art. 59 of the Consumer Code).
Jurisdiction
The contract is exclusively governed by Italian Law. For any dispute, the Court of Venice will have exclusive jurisdiction.
CLP Regulation and Safety
The Customer acknowledges acting as a distributor in its market. It assumes exclusive responsibility for verifying that the Product, packaging and information media comply with the chemical laws (REACH, CLP) in force in the country in which the Products will be marketed. Sentorette declines all responsibility for inadequate labeling by the Customer.
